1. Agreement

By creating an account or using MyPopBy, you agree to these Terms, our Privacy Policy, the Host Agreement, and (when you pledge or publish) the Host–Pledger Terms. If you do not agree, do not use the service.

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. The service is intended for users in the United States.

2. What MyPopBy is

MyPopBy is an online platform that helps people host PopBy campaigns — posting a link, inviting friends or the public, and announcing a visit in a real city — and helps fans signal interest and pledge support. Anyone with an account can host. We provide software and payment tooling; we are not the organizer of every event, not a ticket insurer, and not a party to the underlying host–fan relationship except as stated in these Terms and the Host–Pledger Terms.

3. Accounts

You must provide accurate information and keep your login secure. You are responsible for activity under your account. We may suspend or terminate accounts for fraud, abuse, chargebacks abuse, illegal activity, or material breach of these Terms.

4. Fees and payments

  • Payments are processed by Stripe. Your payment method is charged according to campaign rules shown at pledge/checkout (for example authorization vs capture when a campaign succeeds).
  • Platform fee: PopBy retains 10% of captured pledge amounts as a platform fee. The host keeps 90%. The first 1,000 creators to publish a PopBy keep 97% of their first PopBy, where PopBy retains 3% (exact rate shown in host settings when publishing).
  • Seat fee: Fans pay a $1 seat fee per seat when a seat is charged. It is included in the all-in price shown before you pledge or buy. Fans never pay a card processing fee on top.
  • Boost: the part of a pledge above the host’s minimum entry fee. The whole pledge is charged when you get a seat. Boosts seat fans first when a room is full and may unlock perks the host sets; the host delivers those perks. A fan's place in line is live until the host publishes and can move as other fans pledge.
  • PopBy pays card processing fees on charges out of its fees. Hosts receive the remainder of captured pledges after platform fees, refunds, and chargebacks (including the card network’s fee on a refund, as shown in the product), subject to the Host–Pledger Terms and any hold periods we disclose.
  • Taxes: you are responsible for taxes that apply to you. We may collect amounts required by law if we become obligated to do so.

Fee amounts and timing shown in the product UI control if they conflict with this summary.

5. Campaigns, pledges, and events

Hosts set campaign goals, locations, timing, and fulfillment details. Fans should read campaign pages before pledging. Events may be delayed, relocated, or canceled by the host; remedies are primarily between fan and host as described in the Host–Pledger Terms, except where we are required by law or by Stripe/network rules to issue refunds.

We do not guarantee that any campaign will succeed, that an event will occur, or that a host will perform.

6. Acceptable use

You may not: break the law; infringe others’ rights; scrape or attack the service; post illegal or harmful content; impersonate others; evade fees or fraud systems; or use the service for unlawful adult content involving minors, weapons trafficking, or other prohibited categories we publish in policies.

We may remove content or campaigns that violate these rules.

7. Intellectual property

MyPopBy branding, software, and site content are owned by PopBy LLC or its licensors. Hosts retain rights in their own content but grant us a license to host, display, and promote campaigns on the service. Feedback you send may be used freely without obligation to you.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS.” TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free service.

9. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, POPBY LLC AND ITS MEMBERS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) FEES YOU PAID TO US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) $100.

Some states do not allow certain limitations; in those states our liability is limited to the maximum permitted by law.

10. Indemnity

You will defend and indemnify PopBy LLC against claims arising from your content, your campaigns or pledges, your breach of these Terms, or your violation of law or third-party rights, except to the extent caused by our willful misconduct.

11. Termination

You may stop using the service at any time. We may suspend or end access for any reason reasonably related to safety, legal compliance, nonpayment, or breach. Provisions that should survive (fees owed, IP, disclaimers, liability limits, indemnity, dispute terms) survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law rules. You and PopBy agree to the exclusive jurisdiction of state or federal courts located in Sedgwick County, Kansas, for disputes that are not resolved informally, except where prohibited by law. Either party may seek injunctive relief for IP or misuse of the service in any appropriate court.

Informal resolution first: email legal@mypopby.com with a brief description of the dispute and allow 30 days to respond before filing a claim.

13. Changes

We may update these Terms by posting a new version and updating the date. Material changes will be highlighted in-product or by email when practical. Continued use after the effective date means you accept the updated Terms.

14. Miscellaneous

If a section is unenforceable, the rest remains in effect. These Terms (plus Privacy Policy and Host–Pledger Terms) are the entire agreement between you and us regarding the service. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, or sale of assets.
